Securities prospectus  of JSC Interregional Distribution Network Company of the North-West

On the basis of the decision of the RAO UESR Management Board, which adopted the decision on an increase in the Company authorized capital by placement of 95,687,000,000 pieces of additional ordinary registered shares of 10 kopecks (or RUR 0.1) par value each, within the limits of exercising the functions of the IDGC of North-West extraordinary general shareholder meeting, The Federal Financial Markets Service on 18 March 2008 registered 11 decisions on additional issuance of IDGC of North-West shares; these additional issues accordingly received the following numbers: 1-01-03347-D-001D, 1-01-03347-D-002D, 1-01-03347-D-003D, 1-01-03347-D-004D, 1-01-03347-D-005D, 1-01-03347-D-006D, 1-01-03347-D-007D, 1-01-03347-D-008D, 1-01-03347-D-009D, 1-01-03347-D-010D, 1-01-03347-D-011D.

The shares of the companies (JSC "Arkhenergo", JSC "Volgogradenergo", JSC "AEK Komienergo", JSC "Karelenergo" JSC "Kolenergo", JSC "Novgorodenergo", and JSC "Pskovenergo") which merged with the Company were converted into the shares of the specified additional share issues.

As a result of the converting procedure, the Company placed 95,685,923,138 ordinary shares of the additional issue.

On 6 May 2008, The Federal Financial Markets Service registered 11 reports on results of additional issuance of the Company securities. Thus, now the amount of the share capital of IDGC of North-West amounts to 9,578,592,313 (nine billion five hundred and seventy-eight million five hundred and ninety-two thousand three hundred and thirteen) rubles and 80 kopecks (RUR 9,578,592,313.8) and is divided into 95,785,923,138 (ninety-five billion seven hundred and eighty-five million nine hundred and twenty-three thousand one hundred and thirty-eight) pieces of ordinary shares at 10 (ten) kopecks (or RUR 0.1) par value each.

On 14 August 2008, The Federal Financial Markets Service assigned the uniform registration number 1-01-03347-D to the IDGC of North-West shares.
